Important Disclaimer & NFT Gift Agreement

By accepting, claiming, owning, displaying, or transferring any Non-Fungible Token (NFT) gifted to you by Meta Private Reserve LLC (the “Company,” “we,” or “us”), including any associated digital artwork referred to as the “Ring” or “Ring’s” (collectively, the “NFTs”), you (the “Recipient,” “you,” or “Holder”) expressly acknowledge, understand, and agree to the following terms. If you do not agree, do not accept or interact with the gifted NFT.

1. Nature and Purpose of the Gifted NFTs

These NFTs are provided to you solely as a gift and are offered exclusively as unique digital art and collectibles. Their only intended purpose is personal aesthetic enjoyment, display, and collection.

Any monetary value, resale price, appreciation, or financial gain is entirely coincidental, speculative, and not guaranteed. The Company created and is gifting these NFTs purely as digital art — not as an investment, financial product, or with any expectation of profit. You are not receiving them with any expectation of monetary return from the efforts of the Company or any third party.

2. No Investment Advice or Securities

The gifted NFTs are not securities, investment contracts, or financial instruments. Nothing on this website, in any communication, or associated with the gift constitutes investment, financial, legal, tax, or accounting advice.

We make no representations regarding current or future value, liquidity, market demand, or profitability. Accepting and holding these NFTs involves substantial risk, including the possibility of total loss of value.

3. “AS IS” – No Warranties

The gifted NFTs and associated artwork are provided “AS IS” and “AS AVAILABLE”, without any warranties of any kind (express, implied, statutory, or otherwise). To the maximum extent permitted by law, the Company expressly disclaims all warranties, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Title

  • Non-infringement

  • Accuracy or reliability of the artwork or metadata

  • Future availability, security, or functionality on any blockchain or platform

4. Risk Acknowledgment

You assume all risks associated with accepting and owning the gifted NFTs, including but not limited to:

  • Complete loss of any monetary value

  • Inability to transfer, sell, or display the NFT on any marketplace

  • Blockchain, smart contract, wallet, or platform failures, hacks, or technical issues

  • Regulatory changes, taxes, or legal restrictions in your jurisdiction

  • Loss of access due to lost wallet keys or compromised accounts

  • Volatility in cryptocurrency and NFT markets

5. Intellectual Property License

Upon accepting the gifted NFT, the Company grants you a limited, non-exclusive, non-transferable (except together with the NFT), revocable, personal license to display the associated digital artwork for personal, non-commercial use only.

You may not:

  • Modify the artwork, create derivatives, or use it commercially

  • Use it for advertising, promotion, merchandise, or any profit-generating activity

  • Remove copyright or attribution notices

  • Claim ownership of the underlying intellectual property

All intellectual property rights remain with the Company or its licensors. Receiving the NFT does not transfer copyright or other IP rights except for the limited license above.

6. Limitation of Liability

To the fullest extent permitted by law, the Company and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including loss of value, profits, or data) arising from or related to the gifted NFTs.

Our total liability shall not exceed the amount of any costs directly associated with the technical transfer of the NFT (if any).

7. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of New Mexico, USA. Any disputes shall be resolved exclusively through binding arbitration in New Mexico or in small claims court where applicable. You agree to waive any right to class action lawsuits or jury trials.

8. Acceptance and Updates

By claiming, accepting, or holding the gifted NFT, you confirm that you have read, understood, and agree to this Disclaimer & Gift Agreement. We may update this agreement at any time; continued ownership or use constitutes acceptance of the updated terms.

This document represents the entire agreement regarding the gifted NFTs.
